1. Acceptance of Terms

By accessing or using Sheetix ("the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the Service.

Sheetix reserves the right to modify these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

2. Service Description

Sheetix is a template-based, offline-first application that provides an interface for managing inventory and business data. The Service connects directly to your Google Sheets and serves as a smart interface and automation layer.

Sheetix does not store your data — all data resides in your Google Sheets, which remain fully under your control.

3. User Accounts

3.1 Google Authentication

To use the Service, you must sign in with a Google account. By doing so, you represent that you are:

• At least 13 years of age (or the age of majority in your jurisdiction)
• Authorized to use the Google account you provide
• In compliance with all applicable laws and regulations

3.2 Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your Google account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your use complies with Google's Terms of Service

4. Google Sheets and Data Ownership

4.1 Data Ownership

You retain complete ownership of all data stored in your Google Sheets. Sheetix does not claim any ownership rights to your data. You are solely responsible for the content you store in your Google Sheets.

4.2 Google Permissions

Sheetix uses Google OAuth 2.0 to request limited access to files in your Google Drive. By granting access, you authorize Sheetix to:

• Create new spreadsheets when you select a template
• Read data from spreadsheets created by Sheetix or spreadsheets you explicitly select
• Write data to those same spreadsheets based on your actions in the Service

You may revoke this access at any time through your Google Account settings. Revoking access will prevent Sheetix from functioning properly.

4.3 Compliance with Google Terms

You agree to comply with Google's Terms of Service and all applicable Google API policies when using the Service. Sheetix is not responsible for any violations of Google's terms committed by users.

5. Pricing & Free Use

The Service is currently offered free of charge. All features are available to all users at no cost. We reserve the right to introduce paid plans or feature limits in the future; users will be given reasonable notice before any such changes take effect.

6. User Responsibilities

You agree to:

• Use the Service only for lawful purposes
• Not use the Service to store or transmit illegal, harmful, or inappropriate content
• Not attempt to reverse engineer, decompile, or disassemble the Service
• Not interfere with or disrupt the Service or servers
• Not use automated scripts or bots to access the Service excessively
• Back up your Google Sheets data regularly
• Maintain the security of your Google account and connected sheets

7. Service Availability

7.1 Offline Functionality

Sheetix is designed to work offline. However, some features require internet connectivity, particularly:

• Google authentication
• Syncing data with Google Sheets
• Loading templates for the first time

7.2 No Uptime Guarantee

We do not guarantee that the Service will be available at all times. The Service may be temporarily unavailable due to maintenance, technical issues, or other factors beyond our control.

7.3 Service Changes

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice.

8. Intellectual Property

8.1 Sheetix Intellectual Property

The Service, including its source code, design, templates, documentation, and all other intellectual property, is owned by Sheetix and is protected by copyright and other intellectual property laws. You may not use, copy, or distribute any part of Service except as expressly authorized by these Terms.

8.2 User Content

You retain all rights to the data you store in your Google Sheets. However, by using the Service, you grant Sheetix a limited, non-exclusive, non-transferable license to access, process, and display your data solely for the purpose of providing the Service to you.

8.3 Third-Party Intellectual Property

The Service may incorporate third-party software or content, which is owned by their respective owners. Use of the Service does not grant you any rights to such third-party intellectual property.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF DATA
• AVAILABILITY OR UNINTERRUPTED OPERATION
• SECURITY OF DATA TRANSMISSION

We do not warrant that the Service will meet your requirements or that its operation will be uninterrupted or error-free.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHEETIX SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• LOSS OF DATA, PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
• DAMAGE TO YOUR GOOGLE SHEETS OR ANY OTHER DATA
• ANY OTHER DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE

Our total liability shall not exceed the amount you paid (if any) for using the Service in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sheetix, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights or laws
• Content you store in your Google Sheets

12. Termination

12.1 Termination by You

You may stop using the Service at any time. To permanently delete your Sheetix account, please contact us at support@sheetix.com.

Note: Deleting your Sheetix account does not delete your Google Sheets data. You must manage your Google Sheets directly through Google's interface.

12.2 Termination by Sheetix

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include:

• Violation of these Terms
• Suspicious or fraudulent activity
• Extended period of inactivity
• Discontinuation of the Service

12.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: Data Ownership, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, and Indemnification.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Sheetix is established, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of that jurisdiction.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by:

• Updating the "Last updated" date at the top of this page
• Displaying a notice within the Service
• Sending an email notification for significant changes

Your continued use of the Service after changes constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall continue in full force and effect.
